Terms of Service

These Terms of Service ("Terms") govern your use of rhodeislandregisteredagent.co (the "Site") and the resident agent services ("Services") provided by Rhode Island Registered Agent.co ("we," "us," or "our"). By accessing the Site or purchasing Services, you agree to these Terms.

1. Service Description

Rhode Island Registered Agent.co provides resident agent services in Rhode Island, including:

• Maintaining a physical street address in Rhode Island designated as your resident agent address
• Accepting service of process and official documents on your behalf during business hours
• Scanning received documents and forwarding them to you electronically, typically the same business day
• Sending compliance reminders for annual report deadlines and other state obligations
• Providing secure online access to stored documents via our portal

2. Eligibility

You must be at least 18 years old and have authority to bind the business entity you are registering. You must provide accurate and complete information during enrollment.

3. Pricing and Payment

• The Service is priced at $99 per year
• Payment is due at enrollment and upon each annual renewal
• We accept major credit cards and other methods as displayed during checkout
• Prices may change with at least 30 days notice before your next renewal date
• Failed payments may result in suspension of Services after reasonable notice

4. Service Term and Renewal

Your service term begins on the enrollment date and renews annually unless cancelled. We will send a renewal reminder before your anniversary date.

5. Cancellation

• You may cancel at any time by emailing support@rhodeislandregisteredagent.co
• Cancellation takes effect at the end of your current paid term
• No partial refunds are issued for unused portions of a service term, except at our discretion
• Upon cancellation, you are responsible for designating a replacement resident agent with the Rhode Island Secretary of State

6. Your Responsibilities

You agree to:

• Provide and maintain accurate business and contact information
• Notify us promptly of entity name changes, address changes, or dissolution
• Retrieve and act on forwarded documents in a timely manner
• Maintain your entity in good standing with Rhode Island (filing reports, paying taxes)
• Designate a new resident agent before your service term ends if you cancel

7. Document Handling

• We accept documents delivered to your registered address during normal business hours (Mon-Fri, 9am-5pm ET)
• Documents are scanned and forwarded electronically, typically within the same business day
• We are not responsible for the content, legal implications, or deadlines associated with documents received
• Physical documents are retained for a reasonable period and then securely destroyed

8. Limitation of Liability

To the fullest extent permitted by law:

• Our total liability for claims arising from the Services shall not exceed the fees you paid in the 12 months preceding the claim
• We are not liable for indirect, incidental, special, consequential, or punitive damages
• We are not liable for delays caused by events beyond our reasonable control (force majeure, postal disruptions, state processing delays)

9. No Legal Advice

Rhode Island Registered Agent.co is not a law firm. We do not provide legal advice, tax guidance, or business formation counsel. Our Services are limited to resident agent functions. Consult a licensed attorney for legal matters.

10. Indemnification

You agree to indemnify and hold harmless Rhode Island Registered Agent.co, its owners, employees, and agents from claims, damages, or expenses (including reasonable attorney fees) arising from your use of the Services, your violation of these Terms, or your failure to maintain compliance with state requirements.

11. Governing Law

These Terms are governed by the laws of the State of Rhode Island. Disputes will be resolved in courts located in Rhode Island.

12. Modifications

We may update these Terms from time to time. Changes will be posted on this page with a new effective date. Continued use of the Site or Services after changes are posted constitutes acceptance.

13. Severability

If any provision of these Terms is found unenforceable, the remaining provisions remain in full force.

14. Entire Agreement

These Terms and our Privacy Policy constitute the complete agreement between you and Rhode Island Registered Agent.co regarding the Services.
